VOLUNTEER SQUARE, INC. TERMS OF USE AGREEMENT

Welcome to the Volunteer Square, Inc. website, at http://www.VolunteerSquare.com. Through the website, Volunteer Square, Inc. (“we” or “us”) provides services a) to registered users of the website to enable them to identify nonprofit organizations which need volunteers, and b) to nonprofits to enable them to publicize their need for volunteers (“Services”). For the purpose of this agreement “nonprofit” means an entity formed under state nonprofit law, with or without a federal 501c3 tax exemption, and government entities which carry out _______________ activities. We provide the website and Services subject to this agreement and the associated Privacy Policy, which is incorporated by reference. By using the website or Services or by registering with the website, you represent that you have read and understood this agreement and that you agree to be bound by it. If you do not agree, you should stop using the website and Services. “Content” means website or web page design, text, graphics, user interfaces, visual interfaces, photographs, sounds, audio, video, artwork, computer code, interactive features, the “look and feel” of all of the above, and any other materials, other than Information, placed on the website or used in the Services. “Information” means any information that may identify a user, such as name and email address, and other material such as volunteer interests, skills, and information derived from cookies, when associated with information that may identify the user.

1. YOUR RESPONSIBILITIES

You agree to use the website and Services only for legal purposes, including that you agree not to use it to (a) stalk, harass or harm another individual; (b) collect or store personal data about other users; (c) impersonate any person or entity, or otherwise misrepresent your affiliation with a person or entity; (d) interfere with or disrupt the website or Services or servers or networks connected to the Services; or (e) upload to or transmit on the website or Services: i) any defamatory, indecent, obscene, violent or otherwise objectionable material; ii) any material that is or may be protected by copyright, without permission from the copyright owner; iii) any material containing a virus or corrupted code or data; or iv) any advertisement, solicitation of business, or fundraising.

You also agree not to reproduce, copy, sell, display or exploit for any commercial purpose, or other than for our benefit, any portion of the website or Services. In addition, you may not (a) allow or enable the transmission of mass unsolicited or commercial advertising via e-mail (spam); (b) use any high volume, automated, or electronic means (such as robots) to access the website or Services; or (c) frame the website, place pop-up windows over its pages, or otherwise affect the display of its pages.

2. PRIVACY

As part of the registration process you will be asked to provide certain Information to us. Our practices with respect to collection and use of Information are governed by our Privacy Policy (LINK), which is incorporated into this Terms of Use Agreement by reference. You grant us the right to use your Information for the purpose of providing the website and Services and to disclose your information to nonprofits you identify by using the website and Services. You may withdraw your Information from our registry, for prospective use by us, by contacting admin@volunteersquare.com. You are responsible for withdrawing your Information from third parties who you authorized us to provide it to.

Children under the age of 13 must have parental consent to register with us. If you are the parent of a minor child, you agree that you are solely responsible for the online conduct of and monitoring the use of the website and Services by your minor child, as well as the consequences of use of the website and Services, the decision to volunteer, and the selection of a nonprofit and a volunteer activity. We encourage all parents of a minor child to be involved in the child’s use of the website and Services and any volunteering.

3. THIRD PARTY CONTENT

On our website and Services we provide links to other websites, our own Content, and Content from third parties. We exercise no editorial control over any third party Content on the website or Services, or on linked third party websites. Any linked websites or Content provided by third parties is that of the respective third parties and not ours. We do not endorse, routinely monitor, or assume any responsibility for the accuracy or reliability of any third party Content placed on the website and Services, or of linked sites. We have the right, but not the obligation, to monitor the Content submitted to the website and Services to determine compliance with this agreement and for other purposes related to our activities.

From time to time we may send you newsletters or information from ourselves or third parties which relate to our activities or contain opportunities which we think you may be interested in. You may stop receiving these communications by sending an email to admin@volunteersquare.com or by using the “unsubscribe” function within the communication.

4. PROTECTION AND USE OF CONTENT

You acknowledge that the website and Services include Content and Information protected by U.S. and international copyrights, trademarks, service marks, trade secrets, patents, or other proprietary rights, and that these rights are valid and protected in all forms, media, and technologies existing now or later developed. You also acknowledge that the Content and Information (other than your own Information) is and will remain our property or that of a third party who has given us permission to use it. We own all right, title and interest in and to the website and Services and all underlying software and technology. You agree not to assert any claim of ownership over the website, Services, Content other than Content you supplied, or third parties’ Information. We authorize you to use the website and Services solely for your personal, noncommercial use. You may print a limited number of copies of the Content, provided that the copies are made only for personal, noncommercial use and that you reproduce any proprietary notices in the Content, such as copyright notices.

You are solely responsible for Content you provide for the website or Services and Information you provide to be used in Services. By posting material to the website or Services you represent and warrant that: a) the Content is your own, is in the public domain, or is otherwise free of proprietary or other restrictions (such as copyright, trademark or trade secret protection), b) you have the right to post the Content to the website or Services or provide it to us; c) that the Content doesn’t violate any laws, including those pertaining to defamation and export control; and d) the Information is accurate. You hereby grant us a nonexclusive, irrevocable, worldwide, royalty free right to publish, use, copy, perform, execute, display, distribute, and create derivative works of all Content, including the right to sublicense others to do some or all of the above.

5. DEALINGS WITH THIRD PARTIES

Your relationship (including its terms) with nonprofits, volunteers, or other third parties found on or through the website or Services, including your posting or acceptance of volunteer availability or opportunities, are solely between you and those parties. YOU AGREE THAT WE WILL NOT BE RESPONSIBLE OR LIABLE FOR ANY LOSS, DAMAGE, OR OTHER LIABILITY INCURRED AS THE RESULT OF ANY SUCH DEALINGS, THE PRESENCE OF SUCH PARTIES ON THE WEBSITE OR SERVICES, OR (SUBJECT TO OUR PRIVACY POLICY), THEIR USE OF YOUR INFORMATION.

6. MODIFICATION AND TERMINATION

We may change this agreement, including the Privacy Policy, from time to time by posting the new agreement on the website. We may also modify or discontinue the website and Services with or without notice to you, and without liability to you. In addition, we may in our sole discretion and without notice refuse to post your Content or terminate your use of the Services, and remove and discard Your Content from the website. If you object to any such changes, your sole recourse will be to stop using the website and Services. YOU AGREE THAT WE WILL NOT BE LIABLE TO YOU OR ANY OTHER PARTY FOR TERMINATION OF YOUR ACCESS TO THE WEBSITE OR SERVICES OR REMOVAL OF YOUR CONTENT. You may discontinue access to the website or participation in the Services at any time.

7. DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITIES

YOU AGREE THAT USE OF THE WEBSITE AND SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". WE DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR USE AND NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT THE WEBSITE AND SERVICES WILL MEET YOUR REQUIREMENTS, OR THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR FREE. FURTHER, WE MAKE NO WARRANTY AS TO THE RESULTS OBTAINED FROM THE USE OF THE WEBSITE OR SERVICES, OR THAT DEFECTS IN THE SERVICES WILL BE CORRECTED. YOU UNDERSTAND AND AGREE THAT ANY CONTENT AND/OR INFORMATION DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE WEBSITE OR SERVICES IS DONE AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGES THAT MAY RESULT, INCLUDING A LOSS OF DATA OR DAMAGE TO YOUR COMPUTER.

IN NO EVENT WILL WE OR OUR OFFICERS, DIRECTORS, EMPLOYEES, VOLUNTEERS, LICENSORS, OR THIRD PARTIES WHO WE USE TO IMPLEMENT THE WEBSITE OR SERVICES, BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF REVENUES, PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES, EVEN IF SUCH PARTIES WERE ADVISED OF, KNEW OF OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES. THIS DISCLAIMER APPLIES TO DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE WEBSITE OR SERVICES, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE AND STRICT LIABILITY), WARRANTY, STATUTE OR OTHERWISE. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE WEBSITE AND SERVICES, YOUR SOLE REMEDY IS TO STOP USING THE WEBSITE AND SERVICES.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations and disclaimers may not apply to you. To the extent that we may not, as a matter of applicable law, disclaim any implied warranty or limit our liability, the scope and duration of such warranty and the extent of our liability will be the minimum permitted under such applicable law.

8. RELEASE AND INDEMNIFICATION

You hereby release us, our officers, directors, employees, volunteers, and licensors or who we use to implement the website or Services, from all claims, liabilities, damages, losses, costs, expenses, fees (including reasonable attorneys' fees and court costs), including without limitation personal injuries, death, and property damage, related to or arising from any interactions with others of our users or your participation in any events or activities related to or arising from your use of the website and Services.

You agree to indemnify, defend and hold harmless us, our officers, directors, employees, volunteers, licensors and third parties to whom we provide your Content or Information, or who we use to implement the website or Services, against any and all third party claims, liabilities, damages, losses, costs, expenses, fees (including reasonable attorneys' fees and court costs) that such parties may incur as a result of or arising from (1) your Content and Information submitted to or posted on the website or Services, (2) your use of the website and Services, or (3) your violation of this agreement.

9. FORUM and MISCELLANEOUS

This agreement is governed by and will be construed according to the laws of the State of Connecticut as if it was to be wholly performed in Connecticut. Any action relating to the website, Services, or this agreement must be brought in the federal or state courts in or for Fairfield County, Connecticut, and you irrevocably consent to the jurisdiction of such courts. Any cause of action you may have with respect to the website, Services or this agreement must be brought within one year after the cause of action arose. This agreement contains the entire agreement of the parties for the website and Services.

The terms of the Privacy Policy and Sections 7-9 of this agreement will survive the termination of this agreement until by their own terms they are fulfilled. Our proprietary rights and those of other users or third parties who post their volunteer opportunities on the website and Services (including any and all intellectual property rights) will survive termination of this agreement for any reason.
